GROWPLANT USER AGREEMENT

Please read this Growplant User Agreement ("Agreement") carefully. By creating an account in the Growplant mobile application, using the Application, or accessing any device, sensor, automation system or service through the Application, you declare that you have read, understood and accepted the provisions of this Agreement.

This Agreement is entered into electronically between Growplant, whose details are provided above, and the natural or legal person ("User") using the Growplant mobile application or other digital services provided by Growplant. Hereinafter, Growplant and the Growplant brand are collectively referred to as "Growplant".
2. DEFINITIONS
Application: the mobile application offered under the Growplant brand on iOS and Android platforms;
Platform: the Growplant Application and the web panel, API and other digital services provided by Growplant;
User: the natural or legal person accessing or using the Platform;
User Account: the account created to benefit from Platform services;
Device: any sensor, controller, gateway, relay, automation equipment, pump control unit, valve, motor, drive or other electronic/mechanical equipment communicating directly or indirectly with the Platform;
Sensor Data: temperature, humidity, soil moisture, EC, pH, weight, flow rate, pressure, water level, energy consumption, device status and similar technical data obtained from Devices;
Control Command: commands sent to a device through the Platform, such as switching on or off, changing a setpoint, setting an operating duration or similar commands;
Automation: control or notification actions performed according to defined conditions, times, sensor values or User preferences;
Technical Service Provider: information technology, cloud, hosting, notification or technical infrastructure providers such as Amazon Web Services (AWS), Google Firebase and similar providers used by Growplant to deliver its services.
3. SUBJECT OF THE AGREEMENT
The subject of this Agreement is to govern the terms of use of the Platform, connected devices and related services provided by Growplant, and the rights and obligations of the Parties.
Growplant may provide services such as displaying sensor data, remotely monitoring devices, displaying historical data, generating charts and reports, creating alarms and notifications, remotely controlling devices, creating automations, and monitoring agricultural/technical processes. Available features may vary depending on devices, technical infrastructure and service scope.
4. USER ACCOUNT
The User agrees that information provided when creating an account is accurate, up to date, and belongs to the User or to a person or organisation the User is authorised to represent.
The User is responsible for the security of their username, password, verification codes and account access details. Suspected unauthorised use must be reported immediately to [email protected]. To the extent permitted by mandatory law, Growplant is not liable for actions resulting from the User's failure to secure their account or sharing of account information with third parties.
5. NATURE OF THE SERVICE
Growplant is a monitoring, data display, remote control and automation platform.
Growplant is not a certified safety system, fire alarm system, emergency stop system, life safety system, industrial safety system or independent process safety system. Alarms, notifications and automations provided by the Platform do not replace the independent physical and electrical safety systems required at facility level.
6. USE IN CRITICAL SYSTEMS
The User is obliged to implement independent safeguards in processes that may affect the safety of people, property, plants, animals or production.
In particular, the User is responsible for providing necessary local and physical safeguards against risks such as agricultural frost, excessively high or low temperature, dry running, excessively high or low pressure, motor protection issues, overcurrent, water overflow, low or high levels, emergency stops, fire, and pump or valve failure. Growplant must never be used as the sole safety layer.
7. REMOTE CONTROL
The User acknowledges that commands issued through the Platform may operate physical devices. Before remotely operating a device, the User must ensure that the equipment can be operated safely.
8. COMMANDS AND FEEDBACK
A command being displayed on the Platform as "sent", "successful", "running", "on" or "off" does not guarantee that the physical device is actually in the same state.
Execution of commands depends on many systems, including internet, Wi-Fi, LoRa/LoRaWAN, mobile communications, gateways, on-site control devices, power supply, Technical Service Provider infrastructure and physical equipment. Physical status must be independently verified for critical operations.
9. SENSOR DATA
Sensor readings may be affected by calibration, installation, sensor tolerance, device lifespan, environmental conditions, wiring, communications or device failure. Growplant does not guarantee that sensor readings will be absolutely accurate or uninterrupted under all conditions.
10. AUTOMATIONS
The User is responsible for the setpoints, operating durations, sensors, thresholds, schedules, device selections and automation conditions they define. Growplant is not liable for damage resulting from incorrect configuration.
11. NO GUARANTEE OF AGRICULTURAL OUTCOMES
Data, analyses, automations, reports or notifications provided by Growplant do not guarantee any agricultural outcome.
Growplant makes no guarantee regarding crop quantity, crop quality, yield, plant development, absence of disease, irrigation success, fertilisation results, energy savings, production costs or harvest outcomes. Final agricultural and operational decisions rest with the User.
12. AGRICULTURAL FROST AND TEMPERATURE-RELATED DAMAGE
Provision by Growplant of sensor monitoring, alarms, notifications, automation, heating control or remote control services does not constitute a guarantee that agricultural frost will be prevented or crops protected from temperature damage.
To the maximum extent permitted by mandatory law, Growplant shall not be held liable for direct or indirect pecuniary or non-pecuniary damage relating to agricultural frost, plant death, plant damage, crop or produce loss, quality loss, yield loss, harvest loss, loss of commercial value, income or profit, resulting from inaccurate temperature sensor readings; delayed or missing data; failure to generate an alarm; delayed or undelivered notifications; delayed or failed automation; remote commands not reaching a device; a physical device failing to operate despite a command; heating systems failing to start or being insufficient; software, hardware or communications errors; technical infrastructure interruptions including AWS or Firebase; internet or electricity outages; or failure of pumps, valves, heat exchangers, boilers, drives or other on-site equipment.
This limitation also applies, to the extent permitted by mandatory law, where damage is alleged to be connected with an error, failure, deficiency or delay in Growplant software, hardware, algorithms, alarm systems or automation services. The User must provide independent thermostats, local alarms, frost protection systems, physical checks, backup heating systems and other necessary safeguards against agricultural frost and similar critical risks.
13. SERVICE INTERRUPTIONS
Growplant implements reasonable technical measures to keep the service accessible as far as possible. However, interruptions may occur due to internet, electricity, telecommunications, AWS, Firebase, DNS, gateways, third-party APIs, data centres, maintenance, updates or cyberattacks. Growplant does not guarantee uninterrupted service.
14. DATA LOSS
Growplant may implement reasonable technical measures to prevent data loss. However, no electronic system can be guaranteed absolutely secure against data loss. Subject to mandatory provisions requiring Growplant to be held legally liable, Growplant is not liable for indirect damage arising from data loss.
15. NOTIFICATIONS AND ALARMS
Alarms and notifications may be delayed, fail to arrive, be blocked by a phone, remain undelivered due to lack of internet, not be displayed due to application permissions, or be affected by Firebase or similar technical infrastructure problems. The Growplant notification system must not be used as an emergency system or a standalone agricultural frost safety system.
16. TECHNICAL SERVICE PROVIDERS
Growplant uses technical infrastructure services such as AWS and Firebase to provide its services. These providers may deliver server/hosting, data processing, database, authentication, notification, application infrastructure, security and technical operations services on behalf of Growplant.
To the extent permitted by mandatory law, Growplant is not liable for infrastructure interruptions or service problems experienced by these providers outside Growplant's reasonable control.
17. DEVICE AND FACILITY SAFETY
Electrical installations, panels, motors, pumps, valves, relays, contactors, drives, heating systems, sensors and mechanical equipment connected to Growplant must comply with applicable technical standards. Use of Growplant does not guarantee facility safety or compliance with standards.
18. LIMITATION OF LIABILITY
To the maximum extent permitted by mandatory law, Growplant shall not be held liable for loss of profit, income, crops or produce, production, quality or yield, harvest, opportunity, data, energy or water; business interruption; loss of plants or animals; liabilities to third parties; contractual penalties; indirect, consequential or knock-on damage; or non-pecuniary damage resulting from use or inability to use the Platform, sensor or device errors, software or hardware failures, automation problems, undelivered notifications, unexecuted commands or disruptions in Technical Service Providers' services.
This limitation also applies, to the extent permitted by mandatory law, where an error, failure, deficiency or delay in Growplant software, hardware, algorithms, automation or services is alleged to have contributed to the damage.
Where Growplant must legally be held liable and liability may be contractually limited, Growplant's total cumulative liability shall not exceed the total service fees paid to Growplant by the relevant User during the 12 months preceding the event that caused the damage. Where the User has paid no fee for the service, there shall be no financial liability arising from free services to the extent permitted by law. Cases where liability cannot legally be limited are reserved.
19. FORCE MAJEURE
Events outside Growplant's reasonable control, such as natural disasters, frost, extreme heat/cold, hail, flood, fire, earthquake, war, epidemic, public authority decisions, widespread internet or power outages, cyberattacks, telecommunications or data centre problems, are considered force majeure.
20. USER OBLIGATIONS
The User agrees to use the Platform lawfully, protect account details, ensure facility safety, arrange sensor maintenance and calibration, check automation settings, maintain independent safety systems for critical operations, and not use Growplant as the sole safety system.
21. INTELLECTUAL AND INDUSTRIAL PROPERTY
Intellectual and industrial property rights in the Growplant brand, software, interface, design, source code, database structures, logo and other original elements belong to the rights holder.
22. PERSONAL DATA
Personal data is processed in accordance with the Turkish Personal Data Protection Law No. 6698 and related legislation. Detailed information is provided in the Growplant Privacy and Personal Data Protection Notice.
23. PAID SERVICES
Where paid services are offered, fees and subscription terms are communicated to the User before the transaction. The rules of the relevant platform may also apply to purchases made through the Apple App Store or Google Play.
24. CONSUMER RIGHTS
Where the User is a consumer under the Turkish Consumer Protection Law No. 6502, mandatory rights arising from consumer legislation are reserved.
25. ACCOUNT CLOSURE
The User may request deletion of their account. Account deletion does not prevent retention of records that must be kept under applicable legislation.
26. ACCOUNT SUSPENSION
Growplant may suspend or terminate an account in the event of unlawful use, security risks, unauthorised access, breach of payment obligations or breach of this Agreement.
27. AMENDMENTS TO THE AGREEMENT
This Agreement may be updated to reflect changes in legislation, services or technical infrastructure. Changes materially affecting the User's rights will be communicated appropriately.
28. GOVERNING LAW
This Agreement is governed by the laws of the Republic of Türkiye. Mandatory jurisdiction provisions arising from consumer legislation are reserved.

30. SEVERABILITY
The invalidity of any provision of this Agreement shall not affect the validity of its other provisions.
31. EFFECTIVE DATE
This Agreement takes effect on the date it is electronically accepted by the User.
